okay I looked all over....how do you change the opacity?

Select the desired clip and go to the Effect Controls window/tab.
There should be an Opacity heading; click the triangle at left to expand the view.

Money, it's as easy as pie.

Oh, and as far as overlapping the tracks go, you won't be cutting out anything because you'll be changing the opacity of the clips over a given amount of time, making them blend into eachother.
